   1st layer: mix as pie dough

   1/2 c. chopped nuts

   Press in pan; bake 15 min,cool

   2nd layer: mix thoroughly:

   1 c. confec. sugar

   8 oz. cream cheese

   Fold in:1 c. cool whip and

    spread over crust

    3rd layer:2 small (or 1 large)

    pck. instant chocolate

    pudding mix

    3 c. milk

    Mix and spread over 2nd layer

    4th layer: Spread remaining cool

    whip on top.May sprinkle

    chopped nuts over top.
