Preheat oven to 350 degrees.

In a large bowl mix sugar and flour.

In a saucepan mix butter, water and cocoa; heat until ingredients are blended and add to the dry ingredients.

Add buttermilk, baking soda aned eggs; mix well-the batter will be wet but not stiff.

Pour into a greased and floured 9X14 pan and bake for 25-30 minutes-it will be just slightly baked.

In a saucepan mix butter, cocoa and whipping cream.

Heat, stirring until blended.

Add powdered sugar.

Pour frosting over hot cake.

Let cool and serve.
